Shareholders approve capital increase

At the extraordinary general assembly of Forbo Holding AG held in Zurich today, the shareholders approved with a large majority the increase of the share capital by CHF 27,131,520 through the issuance of 1,356,576 fully paid registered shares with a nominal value of CHF 20 each at an issue price of CHF 150 per share.

433,346 registered shares or 32 % of the outstanding share capital were represented at the extraordinary general assembly in Zurich. The capital increase was accepted by a large majority of the votes cast. The net proceeds from the capital increase create the preconditions necessary for further developing the three businesses under the umbrella of the Forbo Group.

In addition, the shareholders approved an amendment to the Group’s articles of association, which will facilitate the administrative handling of the capital increase. Following this amendment, the presence of a member of the Board of Directors will be sufficient for declaratory resolutions.

Forbo combines leading producers and suppliers of adhesives, belting and flooring under a single holding. The products and services are anchored and recognized worldwide. In the adhesives business, high-performance products ensure stable and permanent bonds between a wide range of materials. In the belting business, applications are developed and distributed under the „Siegling“ brand for transport, processes and drives.

In the flooring business, the company focuses on environmentally favorable and design-oriented linoleum and high-quality cushion vinyls.
